General terms of service.

These general terms of service govern all services provided by BONNE IDEE. Signing a quote, purchase order or contract entails unreserved acceptance of these terms.

Article 1 — Scope

These general terms of service, hereafter “GTS”, govern all services provided by the company BONNE IDEE, a SAS with share capital of €1,000, whose registered office is at 92 boulevard de Châteaudun, 45000 Orléans, registered with the Orléans companies register under number 922 285 218.

Signing a quote, purchase order or contract entails unreserved acceptance of these GTS, available at any time on this site.

Article 2 — Definitions

• Bonne Idée: the company BONNE IDEE SAS.
• Client: any natural or legal person signing a quote.
• Services: all services provided, whether consulting, strategy, design, development, artificial intelligence, automation, subscriptions or events.
• Deliverables: any deliverable handed over as part of the services.
• Partners: the subcontractors selected by Bonne Idée.

Article 3 — Nature of the services

Bonne Idée provides in particular, without this list being exhaustive:

• consulting in transformation, strategy and innovation;
• graphic, UX and UI design;
• web, no-code and low-code development, automation;
• artificial intelligence and automated systems;
• subscription services;
• events and exhibition stands;
• training and support.

The exact scope is defined exclusively in the signed quote.

Article 4 — Formation of the contract

The contract is formed by the signature of the quote and the acceptance of these GTS. The quote prevails over any other communication.

Article 5 — Timescales and performance

Timescales are indicative, unless the contract states otherwise. They are conditional on the Client’s responsiveness, on the supply of the necessary material and on compliance with the approval schedule.

Any delay attributable to the Client suspends the timescales with no liability for Bonne Idée.

Article 6 — The Client’s obligations

The Client undertakes to supply usable, lawful and final content, to hold all necessary rights over the material provided, to collaborate actively and to meet the approval deadlines.

Any late change or change outside the scope is subject to an additional quote.

Article 7 — Partnership and network

Bonne Idée is free to call on any partner, in France or internationally, without any obligation to inform the Client beforehand.

Article 8 — Intellectual property

The transfer of rights over the final deliverables takes place only after payment in full.

Bonne Idée retains its methods, its working frameworks, its artificial intelligence instructions, its scripts, its tools and its know-how.

The Client authorises Bonne Idée to cite the engagement as a commercial reference, unless refused in writing.

Article 9 — Subscriptions

Any recurring service is renewed by tacit renewal, unless terminated in writing thirty days before the renewal date.

Article 10 — Artificial intelligence and automation

Artificial intelligence tools are used as an assistance. Bonne Idée guarantees neither absolute accuracy, nor a direct economic result, nor the total absence of algorithmic error.

The Client remains fully responsible for the decisions arising from automated systems.

Article 11 — Hosting, data and security

Bonne Idée is not a hosting provider. The Client is responsible for backups, for hosting and for the GDPR compliance of their own use.

Bonne Idée cannot be held liable for data loss, cyberattacks or infrastructure unavailability.

Article 12 — Liability

Bonne Idée’s liability is strictly limited to the amount paid by the Client for the service concerned.

Excluded are loss of business, loss of turnover, loss of image, loss of profit and strategic decisions based on the deliverables.

Article 13 — Financial terms

Prices are stated exclusive of tax, in euros. Payment terms are defined in the quote.

Any delay triggers the statutory penalties and the immediate suspension of services.

Article 14 — Termination

In the event of termination by the Client, the sums due for work already engaged remain payable, and a minimum of forty per cent of the total amount is due.

Bonne Idée may terminate as of right in the event of non-payment or serious breach.

Article 15 — Confidentiality

The parties undertake to keep confidential all information exchanged during the term of the contract and for the following five years.

Article 16 — Non-solicitation

The Client undertakes not to solicit, directly or indirectly, any employee, supplier or partner of Bonne Idée for twenty-four months.

Article 17 — Force majeure

The parties are not liable in the event of recognised force majeure.

Article 18 — Governing law and jurisdiction

These GTS are governed by French law. Any dispute falls within the exclusive jurisdiction of the courts of Orléans.
